Terms and Conditions

These terms and conditions ("Detailed Terms and Conditions") apply to and regulate the provisionsof Ticket Compliments® Gift Card(s)issued/distributed by YES BANK &Edenred (India) Pvt. Ltd.

1.DEFINITIONS:

  • “Agreement” means the application made by the Corporate in EIPL prescribed contract form and shall also be referred to any separate contract executed by Corporate with EIPL for availing gift card services.
  • “EIPL” shall mean Edenred (India) Private Limited, a Company incorporated under the Companies Act 1956, having its registered office at 2nd Floor, Camera House, Majiwade Village Road, Majiwade, Thane (West) – 400601 and its successors and permitted assigns.
  • YES BANK” shall mean YES BANK Ltd., a company incorporated and registered under the Companies Act 1956  and abanking company within the meaning of section 5 (c) of the banking Regulation Act, 1949 , having its registered office at Nehru Centre, 9th Floor, Discovery of India, Dr. A B Road, Worli, Mumbai 400 018.
  • “Corporate” shall mean the organization which has signed the Agreement with EIPL for purchasing Cards.
  • “Ticket Compliments® GiftCard” or "Card" shall mean a pre-paid card issued/ distributed by YES BANK /EIPL.
  • The “Cardholder” means an individualto whom the Card is issued.
  • The term "You” or “Your”, shall wherever the context so requires refers to the Cardholder and “We” and “Our”wherever the context so requires refers to YES BANK /EIPL.
  • “Affiliated Establishment”or “AE” shall mean the establishment who will provide required goods or services to the Cardholders against the acceptance of this Card.
  • “POS Terminal” means the point of sale electronic terminals at any Affiliated Establishment, capable of processing Card transactions.
  • “OTP” means one time password used for registering over MasterCard portal, which is mandatory to perform online/e-commerce transactions.
  • “RBI” means Reserve Bank of India.
  • “MasterCard” means a card scheme operating as payment network for pre-paid, debit and credit cards.
  • “ATM” means automated teller machine installed or set up by various banks for the purpose of cash withdrawal.
  • “Website” means www.edenred.co.in
  • “Online Self-care Portal” means a facility made available to the Cardholder to check, review, provide such instructions online using username and password on the Website.

The Cardholder, Corporate, YES BANK and EIPL shall be referred individually as Party and collectively as Parties.

2. GENERAL CONDITIONS:

  • Card shall be issued/ distributed by YES BANK /EIPL at the written request of the Corporate. Also, the Card may be cancelled at the request of the Corporate or at the discretion of EIPL,if the Corporate is unable or unwilling to meet its obligations under theterms of the Agreement signed with EIPL.
  • The Cardholder and the Corporateshall be bound jointly & severally by these Detailed Terms & Conditionsand / orpolicies that may be stipulated by YES BANK/EIPL, from time to time, in thisregard.
  • The Card is not transferable under any circumstances.
  • The Card shall be valid only till the date of expiry, as printed on the face of theCard and the Card cannot be used after such date of expiry.
  • The Cardholder shall sign on the reverse of the Card immediately uponreceipt of the same.
  • Cardholder and Corporate agree that the issuance of Card is subject to rules and regulations introduced or amended from time to time by the RBI or any other regulatory body.

3.ACCEPTANCE OF DETAILED TERMS AND CONDITIONS:

The Cardholder shall be deemed to have absolutely, unconditionally and irrevocably agreed to and accepted the Detailed Terms and Conditions by either of the following acts and such acceptance shall date back to either of the following events:

(i)         by signing on the reverse of the Card, or
(ii)        by performing a transaction with the Card or
(iii)       after 10 days have elapsed since the Card was dispatched to the address on record / the Cardholder acquiring the possession of the Card by following the due process prescribed for the same.

4.USE OF THE CARD:

  • The Card is a prepaid Card that can be used only in India after activation, for purchasing goods & services at any MasterCard POS Terminal or Affiliated Establishments accepting MasterCard or as communicated byYES BANK /EIPL for each product and cannot, under any circumstances, be exchanged for cash.
  • The Card is non-reloadable in nature.
  • The Corporate is required to provide necessary KYC details of the Cardholder toYES BANK through EIPL as per Payment & Settlement System guidelines issued by RBI from time to time.
  • As per current guidelines pertaining to KYC documentation laid forth by the RBI:-
  • Full KYC of the Corporate shall be maintained
  • Maximum value of each such Card shall not exceed Rs.50,000/-
  • The Corporate will obtain the full details of the ultimate beneficiary and the same will be shared with YES BANK / EIPL within 7 days from the date of receipt of such request from YES BANK / EIPL.

These guidelines are subject to change from time to time as determined by RBI.

  • For the list of Affiliated Establishment, as a Cardholder you can visit our Website or send an SMS in the format Ticket<SPACE> Your Message to 56161 or contact us through our contact center e-assist by calling 1860-233-5555 or download our mobile application “TICKET on the go” from our website to search our nearest Affiliated Establishment.
  • The Cardholder’s right to use the Card shall be terminated by YES BANK /  EIPL forthwith in the event of:
    • Loss or theft of the Card reported by the Cardholder.
    • Any otherwritten instruction from the Corporate to do the same.
    • At the discretion of EIPL if the Corporate is unable or unwilling to meet its obligations under the terms of theAgreementsigned with EIPL.
    • In the event YES BANK/EIPL is required to do so as per provisions of prevalent laws and /or guidelines and/or statutory requirements.
  • The Cardholder shall act in good faith at all times and in accordance with these Detailed Terms &Conditions in relation to all dealings with the Card and YES BANK / EIPL.
  • The Card cannot be used to make transactions that exceed the available balance. For such a transaction you need to pay the difference by another method, if the AE agrees.
  • The Cardholder shall accept full responsibility for anywrongful or fraudulent use of the Card and which is or may be in contravention of these Detailed Terms and Conditionsand YES BANK / EIPL shall not held to be responsible for the same in any manner whatsoever.
  • The Cardholder shall indemnify YES BANK / EIPLand make good any loss, damage, interest, or any other financial charge thatYES BANK /  EIPL may incur and/or suffer, whether directly or indirectly, as a result of the Cardholder committing violations of these Detailed Terms and Conditionsand/or applicable laws.
  • The Cardholder is responsible for all transactions done using the Card. If the Cardholder notices any error or misuse relating to the Card, the Cardholder should notify the sameto our contact center a-assist by calling 1860-233-5555 or write to e-assist at assist-IN@edenred.com. Ifthe Cardholder hasanydispute / grievance / problem in relation to purchase made with the Card or any dispute / grievance / problemin relation to any transaction done at an AE, the Cardholder must deal directly with the AE involved in complete exclusion of YES BANK/EIPL and YES BANK / EIPL shall not be responsible/liable in any manner whatsoever in such a situation.
  • YES BANK / EIPL reserve the absolute right discretion and liberty to decline or honor the authorization requests on the Card, without assigning any reason thereof.
  • The Cardholder agrees and undertakes that he/she will not use the Card for paymenttowardsanyillegal/unlawful purchase/purposesor for any transaction which is in breach of applicable laws.
  • YES BANK / EIPL may, at its sole discretion, utilize the services of external serviceprovider/s or agent/s and on such terms as required or necessary, in relation toits products/servicesto facilitate the process of use of the Cards and/or the overall transactions in relation to the Cards.
  • The Card cannot be used at any ATM's for cash withdrawals or for any other activity at an ATM and YES BANK / EIPL shall not be held liable for any such transactions under any circumstances whatsoever.In case you still use the Card at an ATM, the applicable charges will be debited from your Card.
  • YES BANK /  EIPL does not take any responsibility for the quality of products and services offered toCardholders by AE and for any loss, damage or injuries suffered or caused to the Cardholder by the AE in connection with the arrangement covered herein. Corporate shall indemnify YES BANK /  EIPL against any loss, damage or injuries, liabilities, actions, suits, proceedings, claims or demands made against YES BANK /  EIPL by any Cardholder for any reasons whatsoever arising out of the use of the card by the Cardholder. 
  • The Cardholder accepts and acknowledges that an AE may levy certain service charge / surcharge for transactions carried out by using the Card. YES BANK/ EIPL accept no responsibility/liability for any service charge/surcharge or any other charge in relation thereto levied by any AE and debited to the Card in addition to the transaction amount.
  • YES BANK /EIPL will consider a charge or other payment request received from an AE, as a conclusive proof that:
    • such requisition was properly incurred at the AE's outlet; and
    • the Cardholder used the Card for an amount as referred to in that charge or other requisition.

However, in the event the Card has been lost and/or stolen and the prior intimation has been furnished to YES BANK / EIPL the burden of proof to show the genuineness of the transaction lies with the Cardholder.

  • The issue and use of the Card shall be governed by and subject to the rules and regulations as issued by the RBI and other regulators from time to time.
  • The Card will be debited immediately with the amount of any purchase and other transactions effected by the use of the Card. Sometimes the transaction amount and / or tips, surcharge or exceptional transaction amount would be debited fromyour Card subsequently / at a later date. The Cardholder will ensure that he/she has sufficient balance on the Card to meet any such transactions.
  • The Cardholder needs to use the registration code mentioned on the welcome letter, in the welcome kit to register theCard onlineby logging through the Website. Only after registration on the Online Self Care Portal,the Cardholder will be able to perform ecommerce transactions.
  • The mobile number provided by the Cardholder during registration would be used for sending SMS alerts/OTP.
  • YES BANK / EIPLreserve the right to alter or modify these Detailed Terms and Conditionsat any given time without giving prior notice to you. Your use of the Website and/or any services, product promotion, offers constitutes your unconditional acceptance of these Detailed Terms and Conditions.
  • YES BANK / EIPLreserve the right to suspend, add, modify or discontinue any or all services, product promotion, offer available on the Website at our sole discretion at any time without giving you prior notice. In such an event, you agree and acknowledge that we will not incur any liability/responsibility in this regard, either to youor to any third party.
  • The Cardholder could be issued more than one Card by the same Corporate.
  • The Card shall be used only by the Cardholder to whom the Card is issued.
  • Any request for Card replacementor registration code re-issuance by the Cardholder will be processed by YES BANK / EIPL and the card/ registration code will be sent to the corporate address only. Charges as mentioned in the Schedule of Charges under this Detailed Terms and Conditionswill be levied.In case of insufficient funds in the Card, YES BANK / EIPL will not be liable to entertain such requests for Card replacementor registration code re-issuance.
  • If the Corporate or the Card holder loses, misplaces or damages any Card, the Corporate or the Cardholder could however request for replacement of the Card/s at a fee, as mentioned in the Schedule of Charges under this Detailed Terms and Conditions.
  • Any fees charged by YES BANK / EIPL in respect of the Card, including but not limited to service charges, handling and other fees, are non-refundable. Such charges will be as notified by YES BANK / EIPL, from time to time.
  • YES BANK / EIPL reserves the right to vary any of the Detailed Terms and Conditions including charges as prescribed in the Schedule of Charges mentioned hereunder.
  • The Cardholder is responsible for checking the transaction details and knowing the available balance on the Card. You can check your balance online by visiting our Websiteor by calling our contact center e-assist on 1860-233-5555.
  • For any information/ queries about the Card, please connect with our contact center e-assist by calling on *1860-233-5555 or write to us at assist-IN@edenred.com, from9am-8pm Monday to Saturday. * All India local number. Accessible from MTNL / BSNL numbers and select GSM / CDMA numbers.
  • Upon Inquiry, information over your Card usage will be disclosed to the tax or any other regulatory authorities.

5.BREACH & TERMINATION/WITHDRAWAL:

  • Breach:

In the event of any breach of these Detailed Terms & Conditions by theCardholder, notwithstanding any other provision of these Detailed Terms & Conditions, the Cardholder will remain liable to pay YES BANK/EIPL, upon demand, for any loss/claim arising out of, directly or indirectly, from such breach.

It is clarified that any such above action/s that may be taken, would be without prejudice to any other legal or equitable rights/remedies available to YES BANK / EIPL.

Termination:

  • The Corporatemay at any point of time, by giving 90 days prior notice inwriting to YES BANK / EIPL request for termination of provision of Card facility.
  • Such notice issued by Corporate shall mean that the Card shall no longer be valid and that the Cardholderhascutthe card in four (4)pieces and defaced the same by cutting off the top right hand corner ensuring that both thehologram and magnetic stripe have been cut. Notwithstandingthe termination of the Card facility as aforesaid, the Cardholder shall continue toremain liable for all the charges, taxes,etc. in relation theretoincurred before and subsequent to thetermination of the Card.
  • In the event charges are incurred on the Card, after the Cardholder claimsto have destroyed the Card, the Cardholder shall be entirely liable for charges taxes,etc. in relation theretoincurred on the Card, whether or not the same are as a result of misuse of theCard.
  • YES BANK / EIPL, at its sole discretion, reserves the right to, either temporarily orpermanently, withdraw the privileges on the Card and/or cancel the Card at any time without giving any notice or assigning any reason thereof. In case of atemporary withdrawal, the privileges may be reinstated by YES BANK / EIPL at its solediscretion. In case of a permanent withdrawal, YES BANK / EIPLhave a right to refusemembership to the Cardholder permanently. However, it is made distinctlyclear that withdrawal (temporary or permanent) shall constitute automaticwithdrawal of all attendant benefits, privileges and services attached to the Card.
  • In the event of such temporary or permanent withdrawal, the Cardholder shallcontinue to be fully liable for all chargestaxes,etc. in relation thereto incurred on the Card prior to suchwithdrawal, together with all other applicable charges thereon, unless otherwisespecified by YES BANK / EIPL. The Cardholder agrees to surrender the Card to the Corporate, or itsrepresentative, upon being requested to do so. Use of the Card after the notice ofwithdrawal of its privileges is fraudulent and subjects the Cardholder to legalproceedings.
  • The Card shall remain the property of YES BANK and EIPL. If the Card Holder decides to cancel the Card, he/she/ it shall give a written notice of at least 15 days and surrender Card to YES BANK /EIPL. The Card Holder shall also pay dues, charges, taxesetc. in relation theretoif any, payable to YES BANK /EIPL in connection with the Card. Incase of death of the Cardholder, a new replacement Card, on the same terms and conditions or such other terms and conditions as YES BANK /EIPL may deem fit shall be issued in the name of the legal heir of the Cardholder subject to a request for such issue is made by the legal heir and producing the required document proving himself/ herself to be the legal heir and any other document as required by YES BANK /EIPL in this regards. The replacement the Card will be issued subject to the tenure of the Card being still live and money being available on the Card.

6.LOST, STOLEN OR MISUSED  CARDS:

  • If a Card is lost or stolen, the Cardholder must immediately report such loss/theft to EIPL’s 24 Hour Contact Center, E-Assistby calling on 1860-233-5555. YES BANK /EIPL will, upon adequate verification, suspend the Card and terminate allfacilities in relation thereto. YES BANK / EIPL may also request appropriate documents / declarations from the Cardholder in that behalf.
  • The Cardholder accepts and acknowledges that once a Card is reportedlost, damaged or stolen, the Card cannot be used again, even if foundsubsequently. In such cases, the Cardholder shallpromptly cut the Card in 4 pieces.
  • The Cardholder is responsible for the security of the Card andshall take all steps towards ensuring that the Card is not misused. In the eventthatYES BANK/ EIPL determines that the Cardholder has failed to take the steps asmentioned above in case of loss / theft / destruction of theCard and the sameare questionable, financial liability on the lost, stolen or damaged card would restwith the Cardholder and could even result in cancellation of the Card.

7. EXCLUSION OF LIABILITY:

Without prejudice to the foregoing, YES BANK/ EIPLshall be under no liability, whatsoever, to the Cardholder, in respect of any loss or damage arising, directly or indirectly, out of:

  • Any defect in any goods sold by AE or deficiency in services rendered by the AE.
  • The refusal of any AE to honor or accept the Card.
  • The malfunction of any computer terminal or due to reasons like power supply getting discontinued/lost, communication/mechanical problem/machine problem/system problems; sometimes POS will not be able to complete the desired transaction.
  • The giving of transaction Instruction by any person other than the Cardholder.
  • YES BANK/ EIPL exercising its right to demand and procure the surrender of the Card prior to the expiry date exposed on its face.
  • The exercise by YES BANK/ EIPL of its right to terminate usage of any Card.
  • Any injury to the credit character and reputation of the Cardholder, alleged to have been caused by the possession of the Card and/or, any request for its return or the refusal of any AE to honor or accept the Card.
  • Any mis-statement, mis-representation, error or omission in any details disclosed to YES BANK/ EIPL.
  • Any discrepancy between the amount/s loaded to a Card upon receipt of instructions in this regard from the Corporate and the amounts agreed upon between the Cardholder and the Corporate.

8. DISPUTES:

  • Any charge slip, or other payment requisition, received by YES BANK/ EIPLforpayment shall be conclusive proof that the charge recorded on such a charge slipor other requisition, wasproperly incurred by the Cardholder, unless the Card is lost, stolen orfraudulently misused, the burden of proof for which, shall be on the Cardholder.
  • Signatureof the Cardholder on such charge slips together with the Card number notedthereon shall beconclusive evidence of the liability incurred by the Cardholder.
  • YES BANK/ EIPL shall not berequired to ensure that the Cardholder has duly received the purchased goodsor services.
  • Any charge levied by the AE on the purchase made by the Cardholder using the Card, shall be settled by the Cardholder with the AE directly and YES BANK/ EIPL shall not be responsible for the same.
  • Upon usage of the Card at an AE, it shall be the Cardholder’s responsibility to sign and collect the customer copy of the charge slip/s upon making payment using the Card. YES BANK/ EIPL shall not provide copies of the charge slips to the Cardholder, provided however that if the Cardholder makes such request within Ninety (90) days of the relevant transaction, YES BANK/ EIPL may, at its sole discretion, provide copies of the charge slips at a charge.
  • Any dispute or claim regarding the goods or services must be resolved by the Cardholder with the AE. The existence of the claim or dispute shall not relieve the Cardholder of his/her obligation to pay all the charges and the Cardholder agrees to pay promptly such charges.
  • The Cardholder agrees and confirms that all claims, matters and disputes are subject to the jurisdiction of the competent courts in Mumbai and irrevocably submit themselves to the jurisdiction of that court or tribunal. These Detailed Terms and Conditions shall be governed by the laws of the Republic of India. YES BANK/EIPL may, however, in its absolute discretion, commence any legal action or proceedings arising out of the Detailed Terms and Conditions in any other court, tribunal or other appropriate forum, and the Cardholder hereby consents to that jurisdiction.
  • Any provision of these Detailed Terms and Conditions that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of prohibition or unenforceability but shall not invalidate the remaining provisions of these Detailed Terms and Conditions.

9. GRIEVANCE REDRESSAL PROCESS:

The Cardholder understands that Bank will assure of the best service at all times. The Cardholder understands that "Customer Day" is observed at all the offices of the Bank across the organisation covering branches, regional offices and head office, on a specified day of the month as intimated by the Bank from time to time. If the Cardholder would like to share any grievances or offer suggestions for improvement in customer services, the Cardholder on the specified day, can join us at the nearest YES BANK branch, anytime between 3:00 pm to 5:00 pm, and engage with the branch manager for any of his query or complaint.

If the Cardholder would like to share any suggestion, opinion, feedback, scope of improvement or any complaint on any of the YES BANK services/facilities, then the Cardholder may either register the complaint in the online complaint form or approach/write to the branch business leader (branch manager) of the nearest branch explaining the details concerned for immediate redressal.

The Cardholder understands that on receipt of written complaint by the YES BANK, YES BANKshall endeavor to send an acknowledgement/ a response within a reasonable period of time. If the complaint is relayed over phone at YES BANKdesignated telephone helpdesk or customer service number, YES BANKshall provide the Cardholder with a complaint reference number and keep the Cardholder informed of the progress within a reasonable period of time.

After examining the matter, YES BANK will send the Cardholder with a final response or explain the Cardholder why YES BANKneeds more time to respond and YES BANK shall further endeavour to do so within a reasonable period of time of receipt of the complaint and guide the Cardholder how to take the complaint further if the Cardholder is still not satisfied.

In the event of an unsatisfactory or no response:

a)From the Branch Manager within a reasonable period of time, the Cardholder can address concern to the Regional/Zonal Manager (Name & Contact details of the Regional Business Leaders displayed in the respective Branches)
b)         From Regional/Zonal Manger within a reasonable period of time, the Cardholder can address his concern to the Banks Nodal Officer designated to deal with the Customers complaints/grievances by giving full details of the case. And still, the Cardholder does not receive any satisfactory response from the concerned officers as mentioned herein above, the Cardholder can address concern to the Chairman & Managing Director of the Bank and even after this, the Cardholder is not satisfied, the Cardholder is free to take recourse to the following:

A.Directorate of Public Grievances, Govt. of India, Cabinet Secretariat,
B.The District Consumer Forum under Consumer Protection Act, 1985.
C.The Cardholder understands that YES BANKis covered under the Banking Ombudsman Scheme 2006 of the Reserve Bank of India which was introduced by Reserve Bank of India with the objective of enabling resolution of customer complaints relating to the provision of banking products &services/facilities and to facilitate the satisfaction or settlement of such complaints. Under this scheme, any grievance against YES BANK, if not addressed within 30 days, will be addressed to the Banking Ombudsman in charge of the region where the customer holds the account, details of which are available at www.bankingombudsman.rbi.org.in or at the nearest branches. A copy of the scheme will also be available in all the branches for the customer's perusal.

Before approaching the Banking Ombudsman, the Cardholder agrees that:

i)The Cardholder had made a written representation to YES BANK, and YES BANKhas either rejected the complaint or the Cardholder had not received a satisfactory response within a period of one month after making the complaint to YES BANK or unsatisfactory response received by the Cardholder from YES BANK.
ii)         The complaint is made not later than one year after receiving YES BANK’sreply or where no reply is received, not later than one year and one month after the date of representation to the YES BANK.
iii)        The complaint had not been settled by the Banking Ombudsman in any previous proceedings.
iv)        The complaint is not the subject matter of proceedings before any Court, tribunal, arbitrator or any other forum.
 v)        The complaint is not frivolous or vexatious in nature.
vi)        Thecomplaint is made before the expiry of the period of limitation prescribed under the Indian Limitation Act, 1963 for such claims.

10. QUALITY OF GOODS & SERVICES:

  • YES BANK/ EIPL shall not, in anyway, be responsible for the goods or services purchased by the Cardholder from AE,including on account of delay in delivery, non-delivery, non-receipt of goods or servicesorreceipt of defective goods or services or any other matter in relation thereto by the Cardholder.
  • It must be distinctly understoodthat the Card is purely a facility to the Cardholder to purchase goods or services. YES BANK/ EIPL holds out no warranty or makes no representation about quality,quantity, deliveryor otherwise of thegoods or services and the same are procured by the Cardholder solely at his/her discretion without any influence, requirement or coercion on the part of YES BANK / EIPL to purchase any particular goods and/or avail any particular services and/or visit any particular AE’s.

11. DISCLOSURES:

  • The Cardholder acknowledges that the information on usage of theCardcould be exchanged amongst banks and financial entities that provide similarfacilities.
  • YES BANK/ EIPL shall not beobliged to disclose to the Cardholder the name of the bank or financial entityto which it disclosed the information.
  • The Cardholder agrees to adhere to and comply with all such terms & conditions as YES BANK/ EIPL may prescribe, from time to time, forfacilities/services availed of bytheCardholder and hereby agrees and confirms that all suchtransactionseffected by or through facilities for conducting remote transactions including theWorldWide Web, electronic data interchange or by means of electronic, computer,automatedmachines, network or through other means of telecommunication, established byor on behalf of YES BANK/ EIPL or its AE’s, for and in respect of suchfacilities/services offered,shall constitute legally binding and valid transactions when done in adherence toand in compliance with the terms &conditions prescribed by YES BANK/ EIPL or itsAE’sforsuchfacilities/services, as may be prescribed from time to time.
  • The Cardholder shall, prior to availing the Benefit from YES BANK/ EIPL, obtain appropriate advice and shall familiarize himself with the associatedrisks and all the terms and conditions pertaining to the service.
  • The Cardholder shall further verify all facts and statutory provisions and seekappropriate professional advice including the relevant tax implications.
  • The Cardholder accepts and acknowledges that YES BANK/ EIPL is absolved of any liability toany person, in respect of anything done or omitted to be done by the Cardholder in any manner what so ever.
  • The Cardholder shall indemnify YES BANK/ EIPL to make good any loss, damage, interest, or any other financial charge that YES BANK/EIPL may incur and/or suffer, whether directly or indirectly, as a result of the Cardholder committing violations of these Detailed Terms and Conditions.
  • YES BANK/EIPL shall have the absolute discretion to amend or supplement any of the Terms, features and benefits offered on the Card including changes to fees/ charges applicable for such Card. YES BANK/EIPL shall notify/communicate the amended Terms by hosting the same on the Website or in any other manner as decided by YES BANK/EIPL. The Cardholder shall be responsible for regularly reviewing the Terms including amendments thereto and shall be deemed to have accepted the amended Terms by continuing the use of the Card.Certain information concerning the Cardholder may be shared with third parties, e.g. address details for dispatching an order.
  • Details are further shared if legally required to do so to the appropriate authorities.
  • The Cardholder irrevocably authorizes Yes Bank/EIPL to disclose, as and when YES BANK/EIPL is required to do so in order to comply with the applicable laws or when YES BANK/EIPL regards such disclosure as necessary or expedient with respect to the Cards to:
  • the head office, affiliates, or any other branches or subsidiaries of YES BANK/EIPL
  • their auditors, professional advisers and any other person(s) under a duty of confidentiality to YES BANK/EIPL;
  • Any statutory, judicial, quasi-judicial authority and/or local body as and when directed/required;vendors, installers, maintainers or servicers of YES BANK’s/EIPL’s computer systems;
  • any exchange, market,or other authority or regulatory body having jurisdiction over YES BANK/EIPL, its head office or any other branch of YES BANK/EIPL or over any transactions effected by the Cardholder;
  • any party entitled to make such demand or request;
  • any person with whom YES BANK/EIPL contracts or proposes to contract with regard to the sale or transfer or sharing of any of its rights, obligations or risks under these Detailed Terms and Conditions;
  • any person (including any agent, contractor or third party service provider) with whom YES BANK/EIPL contracts or proposes to contract with regard to the provision of services/facilities in respect of the Card;
  • any person employed with, or engaged as an agent by, YES BANK/EIPL or its head office or affiliates, including any relationship officers for the purposes of or in connection with interactions with the Cardholder or providing services/facilities to the Cardholder or processing transactions pertaining to the Card; and
  • to enable YES BANK/EIPL to centralize or outsource its data processing and other administrative operations to YES BANK’s/EIPL’s head office, its affiliates or third parties engaged by YES BANK/EIPL for any such services/operations.

12. REPRESENTATIONS, WARRANTIES, OBLIGATIONS OF THE CARDHOLDER:

      • The Cardholder agrees to adhere to and comply with all such terms & conditions as YES BANK/ EIPL may prescribe, from time to time, forfacilities/services availed of bythe Cardholder  and, hereby agrees and confirms that all suchtransactionseffected by or through facilities for conducting remote transactions including theWorldWide Web, electronic data interchange or by means of electronic, computer,automatedmachines, network or through other means of telecommunication, established byor on behalf of YES BANK/ EIPL or its AE’s, for and in respect of suchfacilities/services offered,shall constitute legally binding and valid transactions when done in adherence toand in compliance with the terms & conditions prescribed by YES BANK/ EIPL or itsAE’s.
      • The Cardholder shall, prior to availing the Card from YES BANK/ EIPL, obtain appropriate advice and shall familiarize himself with the associatedrisks and all the terms and conditions pertaining to the service.
      • The Cardholder shall further verify all facts and statutory provisions and seekappropriate professional advice including the relevant tax implications.
      • The Cardholder accepts and acknowledges that YES BANK/ EIPL is absolved of any liability toany person, in respect of anything done or omitted to be done by the Cardholder in any manner what so ever.
      • The Cardholder shall indemnify YES BANK/ EIPL to make good any loss, damage, interest, or any other financial charge that YES BANK/EIPL may incur and/or suffer, whether directly or indirectly, as a result of the Cardholder committing violations of these Detailed Terms and Conditions.
      • YES BANK/EIPL shall have the absolute discretion to amend or supplement any of these Detailed Terms and Conditions, features and benefits offered on the Card including changes to fees/ charges applicable for such Card. The Cardholder shall be responsible for regularly reviewing the Detailed Termsand Conditions including amendments thereto and shall be deemed to have accepted the amended Detailed Terms and Conditionsby continuing the use of the Card.

13. RIGHT OF LIEN /SET OFF:

The Cardholder grants and confirms the existence of the right of lien and set-off with YES BANK/EIPL, which YES BANK/EIPL may at any time without prejudice to any of its specific rights under any other agreements with the Cardholder, at its sole discretion and without notice to the Cardholder utilize to appropriate any moneys/ shares/ securities/ assets/ properties belonging to the Cardholder and lying/ deposited with YES BANK/EIPL or due by YES BANK/EIPL to the Cardholder, towards any of the dues and outstanding’s payable by the Cardholder to YES BANK/EIPL including any charges/fees/dues payable under these Detailed Termsand Conditions.

14. FORCE MAJEURE:

Cardholder agrees and confirms that YES BANK/EIPL shall not be liable if any transaction does not fructify or may not be completed or for any failure on part of YES BANK/EIPL to perform any of its obligations under these Detailed Terms and Conditions if performance is prevented, hindered or delayed by a Force Majeure event (defined below) and in such case its obligations shall be suspended for so long as the Force Majeure event continues.

"Force Majeure Event" means any event due to any cause beyond the reasonable control of the YES BANK/EIPL, including without limitations, unavailability of any communication systems, breach, or virus in the processes or payment or delivery mechanism, sabotage, fire, flood, explosion, acts of god, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, unauthorized access to computer data and storage devices, computer crashes, malfunctioning in the computer terminal or the systems getting affected by any malicious, destructive or corrupting code or program, mechanical or technical errors/failures or power shut down, faults or failures in telecommunication etc.

15. CHANGE IN TERMS & CONDITIONS:

  • YES BANK/ EIPL reserves the right to change, at any time, these Terms &Conditions, features and benefits offered on the Card including, without limitation to, changeswhichaffectexisting balances, charges and methods of calculation. YES BANK / EIPL reserve the right to alter or modify these Detailed Terms and Conditionsat any given time without giving prior notice to the Cardholder/Corporate.
  • The Cardholder shall be liable for all charges incurred and all other obligations underthe revised Detailed Terms and Conditions. YES BANK/ EIPL may communicate the amended Detailed Terms andConditions by hosting the same on its website, www.edenred.co.inor in anyother manner as decided by YES BANK/ EIPL.
  • The Cardholder shall be responsiblefor regularly reviewing these Detailed Terms and Conditions including amendmentstheretoand shall be deemed to have acceptedthe amended Detailed Terms and Conditions by continuing to use the Card.

16. PRIVACY STATEMENT:

  • YES BANK/ EIPL is committed to protecting your privacy. Only authorized employees of YES BANK/EIPL and our service partners shall have access to details,
  • Our systems and data are continuously updated to ensure the best possible service to our customers.

17. CONFIDENTIALITY:

 

Certain information concerning the Cardholder may be shared with third parties, as in address details for dispatching an order. Details are further shared if legally required to do so to the appropriate authorities. 

18. PARTIAL VALIDITY:

If any provision of the Detailed Terms and Conditions(or any portion thereof) is determined to be invalid or unenforceable, the remaining provisions of theDetailed Terms and Conditionsshall not be affected by such determination, shall be binding upon the parties and shall be fully enforceable.Any invalid or unenforceable provision of these Detailed Terms and Conditions shall be replaced with a provision which is valid and enforceable and most nearly reflects the original intent of the unenforceable provision.

19. NO WAIVER:

No failure on the part of YES BANK / EIPL hereto to exercise, and no delay on their part in exercising, any right or remedy under the Detailed Terms and Conditionswill operate as a waiver thereof nor will any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy, and the same shall not affect in any manner the effectiveness of any of the provisions of this Detailed Terms and Conditions.

20. SCHEDULE OF CHARGES:

This Schedule of Charges is indicative in nature. The charges may be revised from time to time at the sole discretion of YES BANK / EIPL.

The above charges are exclusive of all taxes. All taxes as applicable will be levied in addition to the charges mentioned above.
Charges and fees mentioned above are subject to review/changes from time to time at the sole discretion of YES BANK and EIPL.

  • Card Non-Transacting fees – This fee will be levied if there is no customer induced Debit or Credit transactions for 90 consecutive days.
  • YES BANK’s/ EIPL’s record of the amount of any charge shall, in the absence of manifest error, be final and binding on the Cardholder, and shall be conclusive in any case where YES BANK/ EIPL has effected any payment which constitutes a charge.
  • All fees/taxes/surcharges/service charges if any and all other levies related to the Card shall be borne and paid by the Cardholderand would be debited from the Card, as may be levied from time to time by the Government or other authority in respect of or in connection with the Card, will be borne by the Cardholder and shall be recovered byYES BANK/ EIPL from the Cardholder.
  • The Cardholder shall become liable to pay as soon as a charge has been incurred by use of the Card. These charges are subject to change at the sole discretion of YES BANK/ EIPL.

SPECIAL TERMS AND CONDITIONS FOR TICKET COMPLIMENTS® PREMIUM GIFT CARD

Definitions:

  • “Benefit” means the amount that would be a certain percentage of the transaction value provided to the Cardholder, in accordance with the terms and conditions as mentioned in detail hereunder.
  • “Outlet” means Edenred Affiliated Ticket Compliments Premium Benefit outlets,where EIPL will provide a Benefit to the Cardholder, if the Card is used at these outlets. Also these outlets will be notified in a separate listing of the affiliate directory by EIPL on its website.
  • “POS Terminal” means the point of sale electronic terminals at any Outlets, capable of processing Card transactions.

Terms and Conditions for availing Benefit:

Benefit is available on Ticket Compliments® Premium Gift Card only. Benefit is offered to the Cardholders on transactions undertaken through their Card only at theOutlet(s).

While the Card will be accepted at all MasterCard accepted POS Terminal or online portals, the Benefit would be provided only if the transaction is done at  an Outlet and the said Outlet has provided the complete information as required by EIPL. If any affiliated establishment which is part of the affiliate directory for Outlets and has not provided their complete details, then EIPL is not liable to provide the Benefit to the Cardholder.

The Cardholder would be billed for the full transaction value by the Outlet. The Benefit will be processed by EIPL post the settlement (normally within 2-3 days) of the transaction is completed by the Outlet. The period of settlement of the transaction may vary from Outlet to Outlet.

It is hereby clarified that no separate credit entry of Benefit amount will be posted to the Card. The Benefit amount will be added in the balance available for utilization by the Cardholder.

Periodic updates related to the Benefit being passed to the Card shall be intimated to the Cardholder through SMS alerts (who have registered their mobile number over the Online Self-car portal) and the Cardholder could also check for the updated balance, transaction details, etc. on the Card through the Online Self-care portal by visiting the Website.

Upon cancellation of the Card, any Benefit amount pending to be added in the Card willbe forfeited and therefore will not be added in the Card.

Returned purchases, disputed transactions or unauthorized/fraudulent transactions will not be entitled for the Benefit.

Miscellaneous:

All applicable taxes, duties levied in whatsoever nature in connection with the Benefit shall be borne solely by the Cardholder in absolute exclusion of YES BANK and YES BANK shall not be held liable/responsible for any charges, duties, taxes in relation thereto.

EIPL shall be entitled, at its sole discretion, to reverse any amount of Benefit which was inadvertently / erroneously added to the Card without any prior intimation whatsoever.

In all matters relating to the Benefit, the decision of YES BANK/EIPL shall be final and binding in all respects on the Cardholder.

YES BANK/ EIPL reserves the right at any time, without previous notice, to add, modify or amend all or any of the Special Terms and Conditions or to withdraw the Benefit altogether.

YES BANK/ EIPL shall not be responsible for, or liable to any actions, claims, demands, losses, damages, costs, charges or expenses, which a Cardholder may suffer, sustain or incur in connection with this Benefit facility.

The Cardholder taking advantage of this facility through the valid and active Cards in good standing shall be deemed to have read, understood and accepted these Special Terms and Conditions.
